PRELIMINARY NOTICE of BUSINESS OPPORTUNITY 03-17-2010 (revised 4-7-10)

The BluesBerry Inn is seeking a qualified tenant to lease it's restaurant/cafe in Cantwell, Alaska. This facility was formerly known as the Lazy J Cafe and/or Alaskan Outback cafe/restaurant.

Location and market information:

Parks Highway Mile Post 210.8, Cantwell, Alaska

NEAR Denali National Park (26 miles south of the main entrance)

1 mile north of the fabled Denali Highway

Summer: Tourists, adventurers, fishermen

FALL: Hunters, dog mushers, snow-machine, northern lights viewers

Winter: Snow machine, dog sled mushers, winter sports

Attractions: Mt. McKinley views (it can be seen from the BluesBerry Inn), Denali National Park, wild and pristine Alaska wilderness, the Alaska Range, Denali Highway, local tours, local flight-seeing, wild blueberries.

Local Competition: One of only two full service restaurants on the Parks Highway in Cantwell (the other, a cafe at a gas station, is at Parks Hwy. MP 210). Nearest out-of-town full service restaurants are 13 miles to the north (Parks Hwy MP 224).

The subject facilities consist of the existing kitchen and gift shop area (for seating): All space in the main lodge building that is north of the restroom located at the main entrance to the front desk.

The BluesBerry Inn is under NO obligation to accept or consider ANY proposal and may reject any and all proposals for any or no reasons.

IF you submit a proposal and we wish to consider it further, we will advise you. Acceptance of you as a lessee will depend on successful negotiation of a lease agreement acceptable to you and the BluesBerry Inn.

The restaurant and/or cafe shall not serve any alcoholic beverages under any circumstances. This lease DOES NOT include the old bar or dining room.

Lessee shall be responsible for compliance with all State of Alaska food safety and Health Department requirements.

Lessee shall provide liability and damage insurance.

Lessee shall comply with all Federal, State, and Local laws, rules, and ordinances having jurisdiction.

Food service shall be of an Alaskan variety.

A rough estimate of the start-up costs required to get the restaurant equipment minimally operational is $5,000.00 but this is a very approximate number and you shall make your own due diligence evaluation of start-up costs. The lessee shall be responsible for ALL start-up costs.

Lessee shall pay for electricity, LPG (gas), and heating costs. The BluesBerry Inn will provide hot and cold water and toilet facilities.

Grease SHALL NOT be discharged into the sewer system.

A preliminary list of existing equipment is below. YOU MUST do your own due diligence to determine the condition and suitability of the existing equipment for the uses you will make of it. You will be responsible to repair and upgrade existing equipment as necessary for your purposes. The BluesBerry Inn shall retain ownership of all existing equipment and any repairs lessee makes to any such equipment shall not entitle lessee to any ownership interest or claim in such equipment: IF the lease is terminated for any reason, lessee shall agree that any repairs lessee made, to buildings and/or equipment, shall be to the benefit of the BluesBerry Inn only, and the BluesBerry Inn will not be required to reimburse lessee for any costs associated with such repairs.

Lessee will be responsible to maintain the restaurant and dining facilities.
